This User License Agreement (“Agreement”) is a binding legal contract between you (either an individual or a single entity), referred to as the “End User,” and 145146.in / XLTOOL, the creator and owner of the offline Excel utility and tax compliance automation software accompanying this Agreement. This includes all related files, updates, upgrades, modifications, enhancements, and documentation (collectively referred to as the “Software”).

By downloading, installing, copying, or using our digital utilities, including our flagship Form 145 & 146 bulk JSON generator, you acknowledge that you have read, understood, and agree to be bound by the terms of this Agreement. If you do not accept these terms, do not install or use the Software.

1. Title and Ownership

The Software is strictly licensed, not sold. Title, copyright, intellectual property rights, and full ownership of the Software remain exclusively with XLTOOL. This Agreement does not transfer any ownership rights to you.

This license grants you a non-exclusive, non-transferable right to use the Software on a single computer or workstation. Each separate installation on an additional computer requires its own independently licensed copy.

2. Copyright and Restrictions

The Software is fully protected by Indian copyright laws and international treaties. You explicitly agree not to:

• Modify, adapt, translate, or create derivative works based on the Software or its built-in validation schemas.
• Decompile, disassemble, reverse engineer, or attempt to derive source code or macro logic from the Software.
• Rent, lease, sublicense, distribute, or transfer the Software without XLTOOL’s prior written consent.
• Use any part of the Software beyond what is expressly authorized in this Agreement.

You may make one (1) copy of the Software solely for backup or archival purposes, which must include all original copyright notices.

3. Limited Warranty and Disclaimer

XLTOOL provides the Software “as is” without warranties of any kind, either express or implied. XLTOOL does not warrant that the Software will perfectly meet your specific requirements, or that operation will be completely uninterrupted or error-free. The warranty does not cover:

• Any media, files, or documentation subjected to misuse, accident, corruption, or unauthorized alteration.
• Any Software that has been modified or tampered with without XLTOOL’s explicit written approval.

4. Limitation of Liability

To the fullest extent permitted by law, XLTOOL shall not be liable for any special, incidental, indirect, consequential, or punitive damages. This includes, without limitation, loss of business profits, business interruption, loss of highly sensitive financial information, or any other pecuniary loss arising from the use or inability to use the Software, even if XLTOOL has been advised of the possibility of such damages.

In any case, XLTOOL’s entire liability shall be limited exclusively to the replacement of the Software or a refund of the purchase price, strictly at XLTOOL’s discretion. These limitations apply regardless of the form of action, whether in contract, tort, negligence, strict liability, or otherwise.

5. Evaluation and Registration

This Software is not free software. XLTOOL may provide a limited evaluation period or demo for you to assess the suitability of our desktop tools. After this period, or if you wish to utilize full capabilities for live tax processing, you must register by paying the applicable licensing fees. Continued use of the software beyond the trial parameters without proper registration directly violates this Agreement and applicable copyright laws.

6. Updates and Upgrades

XLTOOL frequently releases updates or upgrades to the Software to ensure compliance with the latest Income Tax department schema changes and portal validation rules. Such updates may be governed by this Agreement or additional supplementary terms. XLTOOL reserves the right to charge fees for significant version upgrades at its sole discretion.

7. Termination

This Agreement is effective until terminated. XLTOOL may terminate it immediately if you fail to comply with any term or condition outlined herein. Upon termination, you must immediately cease using the Software and securely destroy all copies in your possession.

8. Governing Law

This Agreement is governed by the laws of India. You agree that any disputes arising under or related to this Agreement will be subject to the exclusive jurisdiction of the courts of India.

9. Entire Agreement

This Agreement represents the complete and exclusive agreement between you and XLTOOL regarding the Software, superseding any prior agreements, proposals, or communications. No amendment or modification shall be binding unless made in writing and signed by an authorized representative of XLTOOL.

10. Acceptance

By downloading, installing, or actively using the Software, you legally confirm your acceptance of these terms. If you do not agree, you must not use the Software.
